Agent Agreement
This independent Agent Agreement (hereinafter called the "Agreement or/and Contract") is provided by the following organization, hereinafter referred to as "Lotto.ht" d'E-Borlette. The Company’s primary address is Avenue Barranquilla 98, HT 9110, Jacmel-Haiti. The Agreement is a legal document between the “Agent” and Lotto.ht which describes the legal relationship both parties are entering into. This Agreement covers the Agent responsibilities and the Lotto Haiti’s responsibilities to the Agent. The Agent is advised to have the agreement reviewed by legal counsel of his choice.
General provisions
As an authorized Agent of GG Haiti (Lotto.ht), you agree to abide by the terms and conditions contained in this Agreement. Please read the entire Agreement carefully before registering and promoting Lotto.ht as an Agent.
The information contained herein is confidential and is for internal use of Lotto.ht. No part of this document may be reproduced, copied, distributed or made available in any form whatsoever to any person without express prior written permission of Lotto.ht Management.
An Agent shall comply with all provisions of the Act, Lotto.ht rules, conditions and regulations, this Agent contractual agreement, and all other requirements of applicable law.
Electronic Signatures Effective
This Agreement (the “Agreement”) is an electronic contract that states the legally binding terms and conditions of your use of the website and your participation in the Lotto.ht program. You indicate your acceptance of this Agreement and all the terms and conditions contained or referenced in this Agreement by completing the GG Haiti and/or Lotto.ht Agent application process. Checking the box creates an electronic signature that has the same legal force and equivalent effect as a handwritten signature.
Duration
The agreement trial period will run for a minimum period of three (6) months. A permanent contract is offered subject to the Agent successfully completing Lotto.ht training and achieving minimum required standard within the probationary period.
If both parties are happy with the trial period referred in this agreement, both parties agree to discuss and negotiate the renewal of the Agreement in good faith for a further period.
If either party does not wish to negotiate such renewal it will notify the other party in writing not less than one (1) month prior to the expiry of the Term. The terms of such renewal shall be based upon, but not bound to, this Agreement and may include a further five (2) year term. It is not intended that this requirement shall be legally binding on either part.
Registration and Verification
To become a Lotto.ht Agent, an Agent have to complete and submit the Registration Form ("Application") by visiting www.Lotto.ht.
The Agent shall provide true and complete information to the Lotto.ht when completing the Registration Form and promptly update such information if all or any part of it changes.
Lotto.ht may, in its sole discretion, reject an Agent Application at any time for any reason or no reason at all. The Agent shall have no right to appeal any decision by the Lotto.ht to reject Agent Application.
If the Agent fail to provide documents requested by the Lotto.ht or if the Management suspects that the Agent have tampered with any documents provided (or attempted to mislead or misrepresent in any other way), Lotto.ht may reject an Agent Application or/and terminate any existing Agreement immediately. Lotto.ht shall be under no obligation to accept such documents as valid, and under no obligation to provide feedback on the exact nature of findings with regard to submitted documents.
To be eligible to receive and hold a lottery contract, an Agent shall not have been convicted of any crime involving illegal gambling activity in the Haiti or any other jurisdiction, or a criminal offence related to the security or business integrity of the Lotto.ht or any other lottery. The Agent agrees to follow all Federal and Local laws while engaged in providing services to the Lotto.ht during the period of this agreement.
Promotion of the lottery
The agent agrees to actively promote the sale GG World Lottery and GG Keno which the agent is also authorized to sell and to post prominently point-of-sale and other promotional materials provided by the Lotto.ht.
Lotto.ht agrees to provide the Agent with reasonable quantities of business cards, banners, brochures, and other marketing material for purposes.
Lotto.ht Lottery promotions must be visible and tickets available for purchase at all times during the operating business hours.
The Agent shall represent and promote Lotto.ht Lottery in the geographic area of Haiti.
The Agent shall promptly contact the Lotto.ht with reasonable frequency to discuss or promotional activity within the territory.
Ticket Sell
The agent agrees to have lottery tickets visibly displayed for sale to the general public during normal business hours.
The price of a ticket for the customer may not be lower than the price of a ticket set by the Lotto.ht lottery. An Agent may not sell lottery tickets for a price greater than the Lotto.ht price that is printed on the ticket.
Commissions – Reward Plan
Commission payable by the Lotto.ht to the Agent shall be made in Haitian Gourde (HTG) or in any other currency that may be specified by Lotto.ht and mutually agreed by both Parties.
The standard commission rate paid to the Agent by Lotto.ht is 15% of sales; The Agent's income is based only on ticket sales volume.
Monthly Bonus Commission will be calculated by the Lotto.ht payment department on the 10th of each calendar month, commissions will be paid out as part of the next payment cycle, following the month for which commissions are calculated.
Tracking
The Agent will be provided with a CRM account controlled by Lotto.ht and a unique log in which the Agent can use to track customers statistics.
The Lotto.ht may monitor the Agent's account, and lottery tickets purchases coming through Agent’s account.
Payments
The agent can request a payment when their account balance reaches a minimum balance of HTG1000 (Haitian gourde). Withdrawal of the account balance can be requested once every (seven) 7 days. Payment processing can take up to (three) 3 days from the request date. Payments will generally be paid out via available payment options or to the Agent bank account.
Support management
Lotto.ht will provide the Agent with first line support over e-mail, telephone or postal service.
Lotto Haiti will provide the Agent with second line support for the Customers as well as support in case of sudden unexpected events resulting in limitation of the Customer’ access to the services offered by the Lotto Haiti.
Taxes/Expenses
The Agent agrees to pay all applicable taxes, including all other expenses owed in connection with the sale of the lottery tickets to its customers.
The Agent is accountable for all taxation and National Insurance and Lotto.ht will take no liability for non-payment.
Personal data
Lotto.ht entrusts Agent the processing of personal data to the purpose and extent of this Agreement.
Lotto.ht might process personal data provided by the Agent only to the purpose and extent specified in this Agreement especially, but not limited to, arranging the claiming of the winnings.
The processing of personal data should be understood as any operations on personal data, such as collecting, recording, storing, processing, providing access to and deleting information, especially those performed within IT systems.
Lotto.ht can entrust the processing of personal data entrusted by the Agent to the third-party.
Ethics and code of conduct
The Agent shall use the most ethical practices while engaging in any activity.
The Agent may not sell lottery tickets to minors (persons under the age of 18), nor may minors purchase lottery tickets.
Confidentiality
The Agent agrees to protect all confidential material including customers data, data, and information belonging to the Company and shall take all reasonable care in making sure that such confidential material is not disbursed to anyone outside the company.
For the duration of this Agreement and after them no limited time, both Parties may not reveal confidential information to any third-party. Additionally, the Parties will limit revealing confidential information only to those directly involved who need to have the access to confidential information in order to carry out this Agreement and who are bound by rules similar to those listed in this paragraph.
Each of the Parties will treat the confidential information of the other Party as their own confidential information. In the event of detecting an unauthorized access to the confidential information, the Party shall immediately notify the other Party and take all the actions to retrieve the confidential information and to prevent further unauthorized actions.
The amounts listed in this Agreement and the content of the Agreement are confidential information.
Amendment and Modification
Lotto.ht reserve the right to update, change, modify, add, or remove any of the terms of this Agreement at any time, in its sole discretion, by either emailing an agent a change notice or by posting the new version of the Agreement on Lotto.ht Website. Any such modification will only take effect 30 days after the date of posting or sending of any such notice. If any modification is unacceptable to the agent, the only recourse is to terminate this Agreement.
Termination
The Agent agrees to abide by the requirements and all Lotto.ht terms and conditions for promoting ad selling lottery tickets. Breach of any of the company's terms and conditions may result in the Lotto.ht terminating the Agent's contract to promote and sell any Lotto.ht products and services.

Return promptly all promotional materials provided by the Company to the Lotto.ht Manager, if either party terminates this agreement.
Provide Lotto.ht 30-days' notice should the Agent intend to terminate this agreement.
Governing law
This entire agreement shall be governed, construed, and enforced in accordance with the laws of the Haiti, without regard to its conflict of laws rules.
